1. General provisions
1.1. «ALIFCO» Limited Liability Company (TIN 313113129), a resident of the Republic of Uzbekistan, address: Tashkent city, Labzak street, 2A, telephone: +998 50 024 09 00, e-mail: support@dona.uz (hereinafter — the «Operator»), presents this Offer.
1.2. This document is a public offer under the Civil Code of the Republic of Uzbekistan and is addressed to an indefinite range of persons (hereinafter — the «Offer»; after acceptance — the «Agreement»).
1.3. The following terms are used in this Offer:
- «Dona» — the electronic trading platform operated by the Operator;
- «the Dona app» — the mobile application of the Dona platform;
- «Streamer» — a natural person registered in the Dona app as a streamer and approved by the Operator;
- «Shop» — a business entity registered on the Dona platform that sells goods in its own name;
- «Promotional Support» — the fee paid by the Operator to the Streamer for the promotion service (clause 5.2);
- «Annex» — a document that forms an integral part of this Offer and has its own edition date.
1.4. Acceptance. The Offer is accepted fully and unconditionally by submitting an application for registration as a streamer. That action is directed at performing the terms set out in the Offer and constitutes acceptance within the meaning of article 19 of the Law of the Republic of Uzbekistan "On Electronic Commerce" No. OʻRQ-792. The Agreement enters into force from the moment of acceptance.
1.5. Silence does not constitute acceptance. Inaction, continued use of the service, or failure to reply is not treated as acceptance.
1.6. Recording of acceptance. The Operator records the acceptance and stores it in immutable form: the edition of the document accepted and its sha256 checksum, the language of the document, the account, the device, the IP address, and the date and time of acceptance.
1.7. Display. This Offer and its Annexes, as well as their previous editions, are published continuously and openly on the dona.uz website (article 13 of the Law No. OʻRQ-792).
1.8. The Operator is not a seller. Each contract of sale of goods is concluded between the buyer and the Shop. The Operator is not a party to such a contract.
1.9. The Operator is not the Streamer's employer (section 3).
2. The Streamer's activity
2.1. The Streamer provides an advertising and promotion service: conducts live broadcasts on the Dona platform, shows and describes the Shop's goods in them, and answers viewers' questions.
2.2. This activity falls within item 34 of Annex No. 2 to Decree of the President of the Republic of Uzbekistan No. PF-50 of 19 March 2025 — "Activity on social networks (PR manager, internet marketer, promotion and advertising of goods (works, services) on a social network (SMM)…)".
2.3. The Streamer does not sell in its own name: does not receive money from buyers, does not accept or process orders, and does not deliver goods.
2.4. The Streamer broadcasts from a place of its own choosing, using its own device and its own internet connection. The Operator does not provide the Streamer with a workplace, equipment or materials.
2.5. Rights in the broadcast content remain with the Streamer. The Streamer remains the rights holder of the content they create (the picture and sound of the broadcast, their own likeness and voice).
2.6. The Streamer grants the Operator a licence. The Streamer grants the Operator a worldwide, royalty-free, non-exclusive, sub-licensable licence to broadcast, record, store, re-stream (repeat broadcast), shorten and use the broadcast and material derived from it to promote the platform.
The licence lasts for as long as is needed to provide the service and for the retention periods required by legislation. After the Streamer ends their participation the Operator does not broadcast new streams; material already recorded may be kept within lawful retention periods.
2.7. The platform's intellectual property does not pass to the Streamer. The Dona platform, its software, trade marks and design remain the property of the Operator or its licensors. See the Intellectual Property Policy.
3. Status: no employment relationship arises between the parties
3.1. The Streamer acts independently, as a self-employed person.
3.2. No employment relationship arises between the parties. The Operator's internal labour rules, working-time regime and disciplinary measures do not apply to the Streamer. No position, workplace, working hours, wage, plan or quota is set for the Streamer.
3.3. In particular, the following is the case in practice and is implemented in the system in this way:
- a) the Streamer decides for itself which Shop to work with and may refuse any offer without giving a reason;
- b) broadcast times (slots) are created and confirmed by the Streamer itself in the Dona app. Neither the Operator nor the Shop can place a slot in the Streamer's schedule;
- c) the Streamer may also cancel a confirmed slot;
- d) there is no exclusivity: the Streamer may work with several Shops at the same time, including on other platforms. No minimum broadcast hours, number of broadcasts or sales volume is set;
- e) the Streamer itself proposes the terms it wishes to propose; a term takes effect only if both parties accept it (section 4).
3.4. The Streamer must provide the service personally. The account is personal and is linked to a natural person whose identity has been verified; transferring it to another person, sharing it or selling it is prohibited.
3.5. The Operator decides who is approved as a Streamer. The Operator may also block, suspend or close the Streamer's participation (section 9). That right exists to ensure the safety and quality of the platform and is not a disciplinary measure.
4. Arrangement with the Shop
4.1. Cooperation between the Streamer and the Shop is formalised by a separate arrangement, each edition of which is recorded. Each edition is stored together with who proposed it, who accepted it and when it was accepted.
4.2. This Agreement sets no price, rate, commission percentage or amount of Promotional Support. They are set in the following two documents and only in those documents:
- a) the terms between the Streamer and the Shop — in the arrangement referred to in clause 4.1;
- b) the terms of the Operator's Promotional Support — in Annex 1, with its own edition date.
4.3. The arrangement is amended for the future only: it applies to work started after the new edition has been accepted. Work already performed is calculated under the edition in force at that time.
4.4. One party proposes and the other party accepts or refuses. The proposing party cannot itself accept its own proposal.
5. Payments
5.1. Payment by the Shop. If the arrangement under clause 4.1 provides for payment by the Shop, that obligation rests with the Shop. The Operator is neither a debtor nor a guarantor under that obligation; the Operator may calculate, hold and transfer it on behalf of the Shop.
Payment by the Shop may be equal to zero. In that case the Streamer's income consists of the Promotional Support under clause 5.2. In the Dona app the Shop's rate is shown only where it is above zero.
5.2. Promotional Support. For the purpose of developing the platform, the Operator may pay the Streamer a fee for the promotion service (Promotional Support).
- a) This is a payment made at the Operator's own discretion; it is not a wage and does not create an employment relationship. It is paid for the advertising and promotion service referred to in section 2;
- b) its terms, amount and duration are set in Annex 1;
- c) broadcast hours or the number of broadcasts are used only as a unit of measurement of the volume of the service and do not change the legal nature of the payment;
- d) no clause of this Agreement gives the Streamer a right to claim Promotional Support; Promotional Support is calculated only where the terms set in Annex 1 are met;
- e) Promotional Support is paid only to a Streamer whose registration has been confirmed under section 6.
5.3. Platform fee. The platform fee for the Operator's services is set in the arrangement under clause 4.1 and may be equal to zero. The fee may be changed by the Operator for the future only and with at least 30 (thirty) days' prior notice before it takes effect. If the Shop does not agree to the change, it is entitled to terminate the arrangement.
5.4. Payments are made to the payment details indicated by the Streamer in the Dona app.
6. Tax and registration
6.1. The Streamer must be registered in the Republic of Uzbekistan as a self-employed person and must maintain that status for the term of the Agreement.
6.2. Registration is carried out under items 33 and 34 of Annex No. 2 to Decree No. PF-50. (A self-employed person may select several types of activity; registration is carried out free of charge.)
6.3. The Streamer must provide the Operator with the certificate of registration (with a QR code) confirming its registration. The Operator verifies it and may require periodic reconfirmation that the certificate is valid.
6.4. No payment under clause 5.2 is made until registration has been confirmed.
6.5. Tax is the Streamer's responsibility. The Streamer pays the taxes established by legislation on its own income and files its own reports. The Operator is not an employer, does not keep an employment record book for the Streamer, and does not give the Streamer a right to annual leave, temporary incapacity benefit or employment guarantees.
6.6. Turnover tax. A self-employed person pays turnover tax at the rate established by legislation. That tax is the Streamer's responsibility.
6.7. Income tax. A self-employed person is exempt from personal income tax to the extent established by legislation.
6.8. Withholding at source. If the Tax Code of the Republic of Uzbekistan imposes on the Operator an obligation to withhold tax at source from a sum payable to the Streamer — including on the basis of a notice from the tax authorities — the Operator shall do so, transfer the withheld sum to the budget and inform the Streamer accordingly. This clause does not create an obligation; it refers to a requirement of legislation.
6.9. Documents. The Streamer shall draw up the documents necessary to formalise its tax obligations, including the electronic invoice (EHF), in the manner established by legislation. The Operator may request such a document before payment.
6.10. Act of services rendered. For each accounting period the Operator generates the Streamer's report in the Dona app: the broadcast time taken into account, the sum calculated and the sums withheld. That report replaces the act of services rendered.
If the Streamer raises no objection within the period set in Annex 1 from the day it is given access to the report, the report is deemed accepted. If an objection is raised, the parties shall consider it; the disputed part is not paid until it is resolved, and the undisputed part is paid in the general manner.
7. Personal data
7.1. The Streamer's identity data — PINFL, TIN, passport data and facial image — are stored in the territory of the Republic of Uzbekistan.
7.2. The Operator processes this data solely for the purposes of identity verification, making payments and complying with legal requirements, and does not disclose it to third parties except in the cases provided for by legislation.
7.3. Consent is obtained separately from this Agreement and is recorded separately. Biometric data is not processed without consent being obtained.
7.4. Enquiries concerning personal data: support@dona.uz.
8. Liability
8.1. The parties are liable for non-performance or improper performance of their obligations in accordance with the legislation of the Republic of Uzbekistan.
8.2. The Operator is not liable for the Shop's obligations towards the Streamer, including the payment provided for in clause 5.1.
8.3. The Streamer is liable for the content it distributes during a broadcast, including infringement of third-party rights and the provision of incorrect information about goods.
8.4. The Operator is not liable for the Streamer's lost profit.
8.5. Unless legislation provides otherwise, the Operator's property liability towards the Streamer is limited to the amount of Promotional Support calculated for the Streamer in the 3 (three) months preceding the month in which the liability arose.
9. Suspension and termination of participation
9.1. The Operator may:
- block the Streamer's participation — the Streamer can see its account but cannot change it or go live;
- suspend it — the Streamer cannot enter the streamer section of the Dona app;
- close it — the account is closed.
Each case and its reason is communicated to the Streamer in the Dona app.
9.2. The Streamer may terminate its participation at any time, without giving a reason and without any penalty or sanction.
9.3. Termination does not cancel the fee calculated for work already performed.
9.4. The arrangement with the Shop cannot be terminated while a broadcast is in progress.
10. Amendment of the Agreement
Amendment is carried out in three layers:
| Layer | What | How it changes |
|---|---|---|
| 1. Framework | this Agreement: the parties, subject matter, status, liability, termination, jurisdiction | 30 days' notice and re-acceptance |
| 2. Annexes | Annex 1 and other Annexes | 30 days' notice, with their own edition date; re-acceptance of the Agreement is not required |
| 3. Current amounts | the specific amounts applied under the rules set in Annex 1 and in the arrangement under clause 4.1. They are published in the Dona app, not in the text of the Annex | no notice, for the future only |
10.1. The Operator publishes a new edition of this Agreement or of its Annexes on the dona.uz website at least 30 (thirty) days before it takes effect (article 13 of the Law No. OʻRQ-792).
10.2. A new edition takes effect in relation to the Streamer only after the Streamer has accepted it. An edition that has not been accepted does not cancel the previous edition; the Operator may make acceptance a condition of using the service.
10.3. A new edition of Annex 1 does not require re-acceptance of this Agreement, but the 30-day period under clause 10.1 applies to it as well.
10.4. A change in the current amounts (layer 3) is not a new edition of an Annex, does not require notice, applies for the future only, and does not recalculate a sum already calculated.
10.5. If the Streamer does not agree to a new edition, it may terminate its participation under clause 9.2.
11. Force majeure
11.1. The parties are not liable for non-performance of their obligations caused by force majeure (natural disasters, military action, acts of state bodies, mass interruption of the electricity supply or of internet communication, and other extraordinary and unavoidable circumstances).
11.2. The party affected by force majeure shall notify the other party as soon as possible.
12. Final provisions
12.1. The Agreement enters into force from the moment of acceptance and is valid for an unlimited term. It may be terminated in accordance with section 9.
12.2. The legislation of the Republic of Uzbekistan applies to this Agreement.
12.3. Disputes are resolved first of all through negotiation. If no agreement is reached, the dispute is considered by the civil courts of the Republic of Uzbekistan. A self-employed person is not an individual entrepreneur, and therefore such a dispute does not fall within the competence of the economic courts.
12.4. To the extent that legislation permits territorial jurisdiction (venue) to be determined by agreement of the parties, the parties agree that the dispute is to be considered by the competent civil court in Tashkent city. Otherwise the general rule applies.
12.5. The Uzbek text of this Agreement is the principal text. The Russian and English texts are provided for convenience; in case of divergence the Uzbek text prevails.
